Receiving your shares
- Share issuance: Shares (also called book entries) are issued by Transfer Online, Mode Mobile’s transfer agent, after both of the following: (1) your investment funds have cleared, AND (2) the Reg A 2026 financing round has officially closed.
- Proof of investment: After completing your investment, you will receive an executed copy of your subscription agreement, which serves as your official proof of investment until shares are issued.
Bonus shares
- Issuance: Bonus shares are issued along with regular shares after the close of the Reg A 2026 financing round.
- Visibility: Bonus shares appear in your Transfer Online account and your Mode Investor Club account once issued.
- Note: Bonus shares do not appear in the DealMaker portal prior to the round closing. Small timing discrepancies may occur while final calculations are being completed.
Tracking your investment
You can view your investment details in two places:
- DealMaker Investor Portal — investment status and transaction details.
- Mode Investor Club at www.modeinvestorclub.com — additional investor benefits and ongoing updates.
Fees
- All investments are subject to a 2% processing fee.
- There are no higher fees for credit card investments versus ACH — the cost is the same regardless of payment method.
Selling shares and liquidity
- Private company status: Mode Mobile, Inc. is currently a privately held company. Its shares are not traded on a public stock exchange.
- Transferability: All shares sold under Regulation A+ are freely transferable. You may sell your Reg A 2026 shares to other investors prior to an IPO.

Liquidity events: Investors typically realize a return through one of the following:
- IPO — Mode Mobile goes public on a stock exchange (the $MODE ticker has been reserved on Nasdaq, indicating intent to IPO).
- Acquisition — Mode Mobile is acquired by a larger company; investors receive a pro-rata share of acquisition distributions.
- Share buyback — Mode Mobile buys back shares from investors.
- Timeline: Mode Mobile’s objective is to initiate the IPO process within 18–24 months of the Reg A 2026 offering. No guarantees can be provided that this timeline will be met.
12-month lock-up at IPO: If an IPO were to occur, a 12-month lock-up period would apply to all shares purchased in the Reg A 2026 offering. During the lock-up period, shares cannot be sold.
Dividends
Mode Mobile has no immediate plans to pay dividends to investors. The company’s current focus is growth and scaling toward an IPO or other liquidity event.
Investment risks and considerations
- Risk level: Startups are inherently risky. You may lose your entire investment.
- Illiquidity: Private company shares are not easily sold. Investments typically take 5–7 years (or longer) before any exit event.
- Valuation uncertainty: There is no guarantee that the stated valuation is accurate or in agreement with market or industry valuations.
- Tax implications: Mode Mobile cannot provide tax advice. Consult your accountant or tax advisor before investing.
- No dividend obligation: Mode Mobile has no immediate plans to pay dividends.
Why invest in startups?
Equity crowdfunding under Regulation A+ is fundamentally different from product-based crowdfunding (like Kickstarter):
- You are purchasing actual equity (ownership shares) in the company — not products or merchandise.
- You are entitled to a pro-rata share of any future exit proceeds.
- Shares are issued and tracked through a formal securities process.
Calculating net worth (for investment purposes)
Net worth is calculated by adding all assets and subtracting all liabilities. The value of a person’s primary residence is excluded from this calculation.
