Company Valuation: Approximately $470M (can be as low as $213.5M with 120% bonus shares applied)
Selling Shares: Shares cannot be transferred or sold without Company approval (see Subscription Agreement for details).
Regulation S (International Investors)
Who Can Invest: Most non-U.S. investors. Exception: Canadian unaccredited investors cannot invest in this round.
Share Price: $0.30
Minimum Investment: $999.90 (3,333 shares)
Maximum Investment: No limit
Type of Shares: Class AAA Common Stock
Company Valuation: Approximately $470M (can be reduced depending on applicable bonus shares, up to 100% bonus).
Selling Shares: Shares cannot be transferred or sold without Company approval (see Subscription Agreement for details).
